These Website Terms of Use ("Terms") govern your access to and use of redmagnetdigital.com and the pages, forms, content, and features made available through our website (collectively, the "Website").

The Website is operated by Red Magnet Digital ("Red Magnet Digital," "we," "us," or "our"), an Ontario general partnership operating under the registered firm name RED MAGNET DIGITAL.

By accessing or using the Website, you agree to these Terms. If you do not agree with them, please do not use the Website.

1. Purpose of the Website

Red Magnet Digital designs and launches websites for eligible small businesses, with optional managed hosting and maintenance where selected.

The Website provides general information about our business, services, process, current offers, and ways to contact us or submit a potential project. We aim to keep that information clear and current, but Website content is not, by itself, a binding quote, client agreement, guarantee of service, or commitment to accept a project.

If you become a client, the applicable written quote, pre-build confirmation, Client Agreement, and any later written changes govern the specific project. Those project-specific terms take precedence over general Website information on project-specific matters.

2. Project Inquiries and Free Preview

You may use our Website Project Intake Form or other contact methods to tell us about a potential project. Submitting an inquiry or intake form does not create a contract, guarantee acceptance, reserve a project or promotional spot, or require you to purchase anything.

For projects we accept and begin under an applicable written Quote & Pre-Build Confirmation, the initial customized website draft and one consolidated in-scope revision round are provided at no charge. The finished website is not free if you later choose to purchase it.

Any promotional or portfolio conditions are confirmed in the applicable written project documents. Website content does not itself reserve a Founding Portfolio spot or create portfolio permissions. For a Founding Portfolio project, an available spot is allocated only when an eligible client confirms the applicable Quote & Pre-Build Confirmation in writing before its expiry; that allocation does not create a purchase obligation.

A purchase obligation arises only through the applicable Client Agreement after the client has received the current website or preview for review, has had a reasonable opportunity to review it, and has been given the applicable one-time price and approved additional charges. Current prices, availability, scope, managed-service choices, domain arrangements, and other project terms are confirmed separately in writing.

3. Information and Materials You Provide

You are responsible for information you submit through the Website or provide in connection with an inquiry. You agree not to knowingly provide information that is false, misleading, fraudulent, unlawful, or that you are not authorized to provide.

If you submit information or materials on behalf of a business or another person, you confirm that you have appropriate authority to do so. If you provide text, images, logos, branding, photographs, documents, or other materials for us to review, you confirm that you have the right to provide them for that purpose.

Submitting materials for evaluation does not transfer ownership of those materials to Red Magnet Digital. You authorize us to use them only as reasonably necessary to evaluate the inquiry, communicate with you, and carry out the applicable pre-build or project process.

Please do not submit passwords, payment-card information, private account credentials, government identification numbers, health records, or similarly sensitive information through our general intake form or ordinary communications unless we specifically provide an appropriate method.

4. Communications

If you provide contact information in connection with an inquiry, we may use it to respond to you and communicate about that inquiry, proposed project, or resulting business relationship.

Providing contact information for an inquiry does not, by itself, constitute consent to unrelated marketing where separate consent is required by applicable law. Marketing communications and opt-out requests are handled as described in our Privacy Policy and any applicable unsubscribe instructions.

5. Acceptable Use

You may use the Website only for lawful purposes. You must not use or attempt to use it to:

• violate applicable law or the rights of another person;
• submit fraudulent, deceptive, defamatory, infringing, malicious, or unlawful material;
• impersonate another person or misrepresent your identity or authority;
• gain unauthorized access to the Website, its infrastructure, accounts, systems, or data;
• probe, scan, bypass, or interfere with Website security without authorization;
• introduce malware, malicious code, or other harmful technology;
• disrupt or unreasonably burden the Website or its infrastructure; or
• harvest personal information or other data through unauthorized means.

We may restrict or block access where we reasonably believe it is necessary to protect the Website, our systems, our business, our users, or others from misuse, security risks, or unlawful activity.

6. Intellectual Property

Unless otherwise stated, the Website and its original content, including its text, design, graphics, layout, branding, logos, visual elements, and original website code, are owned by or licensed to Red Magnet Digital and are protected by applicable intellectual-property laws.

You may access and use the Website for legitimate personal or business purposes related to learning about or interacting with Red Magnet Digital. You may not, without permission, reproduce or republish substantial portions of the Website, commercially exploit our original Website content, or use our branding in a way that falsely suggests authorization, affiliation, or endorsement.

Rights concerning work specifically created for a client are governed by the applicable client agreement rather than these Website Terms.

7. Third-Party Services and Links

The Website may link to or interact with third-party services used for functions such as project intake, hosting, communications, file sharing, or other business operations.

Third-party providers operate under their own terms, privacy policies, and practices. Red Magnet Digital does not control independent third-party websites or services and is not responsible for their independent content, availability, security, pricing, or practices.

8. Privacy

Our collection, use, disclosure, retention, and protection of personal information is described in our Privacy Policy. The Privacy Policy governs our handling of personal information.

9. Website Availability and Disclaimers

We take reasonable steps to operate and protect the Website, but no website or internet-based service can be guaranteed to operate without interruption, delay, error, or security risk.

To the maximum extent permitted by applicable law, the Website is provided on an "as available" basis. We do not guarantee uninterrupted access, error-free operation, continued availability of third-party services, acceptance of any inquiry or project, or any particular business result from using our Website or services.

Nothing in these Terms excludes, restricts, or modifies any right, remedy, protection, warranty, condition, or liability that applicable law does not permit us to exclude, restrict, or modify.

10. Limitation of Liability for Website Use

To the maximum extent permitted by applicable law, Red Magnet Digital will not be liable for indirect, incidental, special, consequential, or similar losses arising solely from access to, inability to access, or misuse of the Website or from reliance on independent third-party websites linked from the Website.

This limitation does not apply where liability cannot legally be limited or excluded. These Website Terms do not determine liability relating to an accepted client project, which is governed by the applicable client agreement and applicable law.

11. Changes and General Terms

We may update these Terms when our Website, services, business practices, or legal obligations change. The "Last updated" date above will identify the current version. Changes apply prospectively unless applicable law requires otherwise and do not, by themselves, change a separate client agreement already entered into.

If a provision of these Terms is found invalid, unlawful, or unenforceable, it will be interpreted or limited to the minimum extent reasonably necessary where permitted. If that is not possible, the affected provision will be severed and the remaining provisions will continue to apply.

A delay or failure by Red Magnet Digital to enforce a provision does not waive the right to enforce it later.
